Brand Ambassador Application

Overview

This company is engaged in the sale and operation of storefront memberships on a virtual marketplace platform, smHauler.com, and intends to expand its recognition and sales. The Brand Ambassador is a recognized personality and in a position of influence providing reviews and encouragement to expand small business reach through smHauler LLC and its services. The Parties agree and acknowledge that the Brand Ambassador shall perform promotion services in connection with the company through their own social media platforms, including but not limited to Instagram, Facebook, and TikTok.

Compensation Agreement

As full compensation and consideration for the full and complete performance of all obligations specified under this Agreement, the parties agree that smHauler LLC shall pay the agreed amount in accordance to the pay scale listed below, the full ( “contract price”) upon the fulfillment of the obligations of the Brand Ambassador. Compensation for the current month’s agreement will be paid on the 25th of every month via PayPal. The pay scale will be reevaluated for the following month’s agreement on the 25th of every month, and will be sent via email to the Brand Ambassador to be agreed upon.

PAY SCALE

For Brand Ambassadors with a total following of 5,000-10,000 across all three platforms (Instagram, Facebook, and TikTok), the full contract price for 1 month will be $50

For Brand Ambassadors with a total following of 10,001-20,000 across all three platforms (Instagram, Facebook, and TikTok), the full contract price for 1 month will be $75

For Brand Ambassadors with a total following of 20,001-50,000 across all three platforms (Instagram, Facebook, and TikTok), the full contract price for 1 month will be $100

For Brand Ambassadors with a total following of 50,001+ across all three platforms (Instagram, Facebook, and TikTok), the full contract price for 1 month will be $150

A bonus amount calculated based upon the following rates will also be paid on the 25th of every month if the Brand Ambassador should complete the required obligations:

For every BASIC storefront membership referred using the Brand Ambassador’s supplied code listed in this Agreement at the time of the storefront membership purchase, a $1 shop credit to Shop smHauler, shopsmHauler.company.site, will be paid in the form of a coupon to the Brand Ambassador. The new storefront membership owner (your follower) will receive a coupon code to Shop smHauler, shopsmHauler.company.site, for a free Ultimate Small Biz Digital Download Bundle provided by the Company.

For every BRONZE storefront membership referred using the Brand Ambassador’s supplied code listed in this Agreement at the time of the storefront membership purchase, $3 will be paid via PayPal to the Brand Ambassador. The new storefront membership owner (your follower) will receive a coupon code to Shop smHauler, shopsmHauler.company.site, for a free Ultimate Small Biz Digital Download Bundle provided by the Company.

For every SILVER storefront membership referred using the Brand Ambassador’s supplied code listed in this Agreement at the time of the storefront membership purchase, $5 will be paid via PayPal to the Brand Ambassador. The new storefront membership owner (your follower) will receive a coupon code to Shop smHauler, shopsmHauler.company.site, for a free Ultimate Small Biz Digital Download Bundle provided by the Company.

For every GOLD storefront membership referred using the Brand Ambassador’s supplied code listed in this Agreement at the time of the storefront membership purchase, $8 will be paid via PayPal to the Brand Ambassador. The new storefront membership owner (your follower) will receive a coupon code to Shop smHauler, shopsmHauler.company.site, for a free Ultimate Small Biz Digital Download Bundle provided by the Company.

For every PLATINUM storefront membership referred using the Brand Ambassador’s supplied code listed in this Agreement at the time of the storefront membership purchase, $12 will be paid via PayPal to the Brand Ambassador. The new storefront membership owner (your follower) will receive a coupon code to Shop smHauler, shopsmHauler.company.site, for a free Ultimate Small Biz Digital Download Bundle.

For every ULTIMATE storefront membership referred using the Brand Ambassador’s supplied code listed in this Agreement at the time of the storefront membership purchase, $20 will be paid via PayPal to the Brand Ambassador. The new storefront membership owner (your follower) will receive a coupon code to Shop smHauler, shopsmHauler.company.site, for a free Ultimate Small Biz Digital Download Bundle provided by the Company.

Should a new storefront membership NOT use the Brand Ambassador’s referral code at the time of said storefront purchase, the referral will not be valid for compensation for the Brand Ambassador and the purchaser will not receive their sign up bonus. No compensation will be made for referral codes supplied before or after purchased storefront memberships.

Product Use and Ownership

The Brand Ambassador shall be provided products by the Company at no expense for the benefit of the Brand Ambassador. The Brand Ambassador agrees that in such provision of the

products, the Brand Ambassador cannot, and may not subject the products provided for resale. Should the Brand Ambassador decide to discontinue the use, return or sell the products, the Brand Ambassador shall notify the company prior to such action. 

Provided Products will include but are not limited to:

• Unlimited Storefront Membership with smHauler LLC, in which the membership shall be granted at no expense for the duration of this Agreement, ending only if the Brand Ambassador decides to discontinue the use of the membership, the Brand Ambassador misuses their Ultimate Storefront Membership in accordance to the Storefront Membership Term and Conditions agreed upon sign up on smHauler.com, or either party terminates this Agreement.
• 100 thermal stickers in the design that the Company chooses but in one of 8 colors (white, blue, green, purple, pink, red, orange, or yellow) that the Brand Ambassador chooses.
• 5 Sheets of full color printed logo/custom design stickers that the Brand Ambassador may choose the shape (2.5in Circle or 1inx2-5/8in Rectangle) and design of
• 1 Haul Small Hashtag sticker
• 1 Referral code for followers to use when signing up for a storefront membership YOUR CODE IS: 

The Brand Ambassador will also be featured one time on the Company homepage (smHauler.com) as well receive a Facebook post from the Company Facebook page (smHauler LLC) promoting said featured product. The product featured will be decided by the Company.

The Brand Ambassador will also receive a virtual “Brand Ambassador” badge displayed on their storefront with smHauler.com. Said badge will be given immediately following the signage of this Agreement and will remain with the Brand Ambassador until the end of this Agreement. Should this Agreement be discontinued, the Company reserves the right to remove said badge.

Copyright

The copyright of the work created by the Brand Ambassador shall remain with the Brand Ambassador. Any reproduction of the works after the duration of the Agreement shall require consent with the Brand Ambassador or may require a new Agreement between the Company and the Brand Ambassador.

Confidentiality 

The Parties to this Agreement may not disclose to any third party the use of the works engaged by the Brand Ambassador with the Company without the other party’s written consent. Neither Party may sell, nor disclose, with any third party any proprietary or confidential information acquired by them in the course of their engagement with the other, without the written consent of the other party. 

The Brand Ambassador agrees to return to the Company all confidential documents, records or any information owned by the Company upon the termination of the Agreement. In case of failure to return the confidential documents, records or information, the Brand Ambassador shall notify the Company and shall agree on how such information should be disposed of or returned to the Company. 

Representations and Warranties

Representations and Warranties: The Company acknowledges and understands:

1. Brand Ambassador has unrestricted right and authority to perform the duties and deliverables that conform to this Agreement
2. The deliverables by the Brand Ambassador are original
3. All duties and responsibilities by the Brand Ambassador is compliant with the applicable laws, rules, and regulations of the State agreed upon by Parties, to be performed in this Agreement
4. The work of the Brand Ambassador will not contain defamatory, disparaging, or offensive content to any product or business, or be involved in any pornographic or be contrary to any religious belief. 

Brand Ambassador Agreement

The Brand Ambassador agrees to complete all the following tasks by the 24th of each month unless this Agreement has been terminated. Should the Brand Ambassador not complete ALL listed tasks by the due date, the Company has the right  to withhold partial or entire payment as they see fit, including all bonuses. Failure to complete ALL listed tasks will also result in immediate termination of this agreement.

Listed Tasks:

1. 4 Facebook posts which each contain: Tagged page of smHauler LLC, 1 link to any smHauler.com webpage and a relevant photo. 2 posts should be shopper targeted, and 2 posts should be business owner targeted. The business target posts MUST include a mention of the Brand Ambassador’s referral code.
2. 4 Instagram posts which contain: Tagged account of smHauler LLC, 1 link to any smHauler.com webpage OR the mention of the link in your bio (should your bio link contain a link any smHauler.com webpage), and a relevant photo OR 10 second reel. 2 posts should be shopper targeted, and 2 posts should be business owner targeted. The business target posts MUST include a mention of the Brand Ambassador’s referral code.
3. 4 TikTok which each contain: Tagged account of smHauler LLC, 10 seconds or longer of footage, and the mention of smHauler.com in written format. 2 posts should be shopper targeted, and 2 posts should be business owner targeted. The business target posts MUST include a mention of the Brand Ambassador’s referral code.
4. You may use the same content for each listed platform, however it MUST be properly formatted for the relevant platform and contain the CORRECT tagged page/account.
5. The Brand Ambassador MUST join the provided Facebook group for all brand ambassadors given via email by the Company, and stay active in said group.
6. The Brand Ambassador MUST agree to watch the welcome live/live replay in the provided Facebook group, and confirm by simply commenting their initials under said post.
7. The Brand Ambassador must FULLY set up their storefront account on smHauler LLC, including the following: Storefront Profile Picture, 2 Storefront Banners, at least 1 added product, a completed About section, a completed Shop Policies section, 1 contact email, and linked Instagram, Facebook and TikTok accounts.
8. The Brand Ambassador must complete the Storefront Badge Application
9. The Brand Ambassador must stay active on the smHauler LLC social media pages and accounts across Facebook, Instagram, and TikTok, through likes, comments, shares, or any other form of engagement.

Period and Termination

This Contract shall remain effective and enforceable until either the Company or Brand Ambassador terminate this Contract in writing. Should either party decide to terminate this contract, the party shall notify the other at least 2 weeks (14 days) prior to the next payment cycle. Either party shall be able to terminate this Agreement for any reason. The Company reserves the right to terminate this agreement at any time outside of the 2 week (14 days) period should the Brand Ambassador not complete the Agreement of all tasks by the 24th of every month. Upon termination of this Agreement, the Ultimate Membership associated with the Brand Ambassador’s Storefront will be set back to a Basic Membership. Any use of the Brand Ambassador’s referral code after termination of this Agreement will not be valid and neither the Brand Ambassador nor the user of the referral code will receive compensation for said use.

Separability Clause

Should any of the provisions of this Agreement be held invalid by any competent court, the same shall apply only to the said provision and the remaining provisions hereof shall remain valid and enforceable. 

Agreement to Modification

No modification or alteration of this contract shall be considered as having been made unless otherwise executed in writing and duly signed by parties hereto.
